Version 3, as at 8 October 2026 · Atlas Intelligence Pty Ltd ACN 696 535 529 (trading as Lyra)
1Introduction
1.1These terms and conditions (Terms, as at 8 October 2026, Version 3) apply to your access to and use of:
- (1)our website at lyracybr.com, including any content or functionality, offered there (Website); and
- (2)the cyber and technology risk advisory web application ‘Lyra’ (Platform).
1.2Upon creation of an account on the Platform, these Terms form an agreement (Agreement) between Atlas Intelligence Pty Ltd ACN 696 535 529 (trading as Lyra) (“Lyra”, “we”, “us”, or “our”) and you, meaning the natural person or the organisation browsing, accessing or otherwise using the Platform. Each of you and us is a party to this Agreement.
1.3You agree to be bound by these Terms and our Privacy Policy (Policy), which is incorporated into these Terms by reference. The collection, use and disclosure of your personal information is governed exclusively by the Policy.
2Licence and Account
2.1Subject to your compliance with these Terms, we grant you a non-exclusive, revocable, non-transferable licence to use and enjoy the Platform.
2.2If you are using the Platform on behalf of anyone else, you in your individual capacity represent and warrant that you are authorised to act on behalf of that other person or entity and where necessary to bind the entity and the entity’s employees to these Terms.
2.3You represent and warrant that any information you provide to us when creating your account, and any changes to that information made through the Platform, are materially accurate.
2.4You may not make your access credentials or account available to others. You are responsible for the use of your account by any third party, and we disclaim any Liability associated with any third party usage.
3Usage
3.1You represent and warrant that you hold all necessary licenses, registrations and authorisations necessary to provide any service that you provide to your clients and customers through or with the assistance of the Platform, including, if you are an insurance broker, an Australian Financial Services Licence or authorisation as an authorised representative of the holder of an Australian Financial Services Licence. You must notify us soon as reasonably practicable if you cease to hold any such licence, registration or authorisation.
3.2The Platform provides insurance brokers with general, factual information about the cyber and technology risk insurance market, including information about insurers and their products and de-identified, aggregated broker sentiment about insurers and market conditions, to support brokers’ own due diligence. The Platform does not provide any financial product advice, and does not recommend any insurer or product or assess whether any insurer or product is suitable for any client. You acknowledge that:
- (1)Lyra does not hold an Australian Financial Services Licence; and
- (2)the Platform and the services provided on it are not financial services or financial products within the meaning of the Corporations Act 2001 (Cth).
3.3You are solely responsible for carrying out the required verification, assessments and evaluation of the information provided to you on the Platform, including by verifying Outputs against actual policy documents and other materials referenced in them, before using them.
3.4You assume and bear all of the risk in using any Output produced by the Platform, and must exercise your own professional judgment regarding the content of the Outputs and the appropriateness and suitability of any policy described therein. You must not:
- (1)present any Output to a client as though it were advice or recommendations provided by us; or
- (2)remove or delete any disclaimer that appears on any Output.
To the maximum extent permitted by law, we disclaim all Liability arising from:
- (1)your use of or reliance on Outputs; and
- (2)your failure to verify, assess and/or evaluate information provided to you on the Platform.
3.5We retain all right, title and interest, including Intellectual Property Rights, in all Outputs, including Outputs exported from the Platform. We grant you a limited, non-exclusive, non-transferable, revocable licence to export Outputs from the Platform using the export functions we make available, use them in the ordinary course of your business and share them with your clients, provided that you attribute them to us. You must not:
- (1)modify or alter an Output in a way that changes its meaning; or
- (2)remove or obscure our attribution, branding, name or disclaimers shown on an Output.
Nothing in this clause affects your assumption of risk in the use of an Output pursuant to clause 3.4.
3.6You are solely responsible for your use of the Platform and its features. You must not use the Platform to do any act or thing that is unlawful or which causes harm, loss or damage to another. This includes:
- (1)infringing any person’s rights (including Intellectual Property Rights and privacy rights);
- (2)uploading files that contain viruses or malicious code;
- (3)transmitting, publishing or communicating material that is defamatory, offensive, abusive, indecent, menacing, unwanted or detrimental to or in violation of our systems or a third party's systems or network security; or
- (4)acting or accessing the Platform in any way that damages, interferes with or interrupts the supply of services offered by the Platform; and
- (5)reverse assembling, reverse compiling, decompiling, translating, or otherwise attempting to discover the source code or underlying components of the Platform or its models, algorithms, or architecture.
3.7We do not guarantee that the Platform or any Output is accurate, complete, or free of errors or defects, or that access to the Platform will be provided on an uninterrupted basis.
4Payment
4.1Subject to clause 4.2:
- (1)the fees applicable to your use of the Platform are published on our Website, and may otherwise be separately agreed between you and us in writing from time to time. We reserve the right to vary our fees from time to time, subject to providing you with at least 1 month’s noticing in writing of any increase to the fee.
- (2)unless otherwise agreed in writing between both parties, the Licence Term will renew automatically for successive equal length periods until your licence is terminated by either party.
- (3)we will issue a tax invoice to you at the commencement of each Licence Term, for an amount equal to the fee payable by you multiplied by the number of Seats. For example, if you subscribe to the Platform monthly, you will receive a tax invoice on the day you subscribe, and thereafter on the same date in each successive month, until your licence is terminated. Tax invoices must be paid by you within 14 days of receipt.
4.2Where you are a party to a separate agreement with us in relation to your use of the Platform (such as a SaaS Agreement, Pilot Agreement, or similar), that agreement will prevail over these terms to the extent of any inconsistency.
4.3In the absence of mistake or fraud, each payment made by you is final and will not be refunded in the event of termination. We will not issue refunds for any decrease to the number of Seats licensed, nor any pro rata discount in respect of any period between the termination of your licence during the Licence Term and the expiry of the Licence Term.
4.4We reserve the right to remove, restrict or block your access to the Platform if you fail to make any payments to us when due under these Terms.
5Data Security
5.1We have implemented robust security measures to safeguard any personal information you disclose in your use of the Platform. However, no system is completely immune to potential security breaches, unauthorised access, or malicious attack. To the maximum extent permitted by law, we disclaim all Liability suffered by you or by any third party as a result of unauthorised or malicious access or activity to the Platform or its related services by a third party.
6Intellectual Property
6.1We retain all rights, title and interest, including Intellectual Property Rights, in the Platform and any related products or services owned by us. Nothing in these Terms is intended to grant any right, title or interest in the Platform or any associated Intellectual Property Rights.
6.2You must not, without our prior written consent or except as expressly permitted by these Terms:
- (1)other than Outputs exported and used in accordance with clause 3.5, copy, disseminate, distribute, publish or broadcast, in whole or in part, any information that you have obtained from the Platform, outside the Platform;
- (2)use any scraper, crawler or other automated means to access, monitor, copy or extract any data or content from the Platform;
- (3)download, copy or extract data or content from the Platform in bulk or systematically, or other than through the export functions we make available;
- (4)use any data or content obtained from the Platform to create, compile or contribute to any database, dataset, product or service that competes with the Platform;
- (5)use any data or content obtained from the Platform to train, fine-tune, test or otherwise develop any artificial intelligence or machine learning model;
- (6)seek to reproduce, reverse engineer, or decompile the Platform, its object code or source code, or any of its features or related services; or
- (7)breach any Intellectual Property Rights connected with the Platform, including by altering or modifying any of the information that appears on the Platform, or causing any of the information to be framed or embedded in another website.
7Feedback
7.1You grant us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable and sublicensable licence to use, copy, modify, adapt, aggregate, analyse, combine with other data, publish, distribute and commercialise any Feedback you provide, for any purpose, subject to clause 7.4. This licence survives the termination of these Terms.
7.2Without limiting clause 3.6, you represent and warrant that you are entitled to provide any Feedback to us and to grant the licence in clause 7.1 (including where you provide the Feedback in the course of your employment or engagement), and that your Feedback does not contain:
- (1)confidential information of your employer, your clients, any insurer or any other person;
- (2)details of any client, or of any placement, quote or other transaction; or
- (3)personal information about any other individual.
7.3We may moderate, edit, refuse or remove any Feedback at any time and in our discretion, without notice to you. We are not obliged to publish, use or retain any Feedback.
7.4We may share Feedback with insurers, brokers and other users of, or subscribers to, our services, but only in a de-identified and aggregated form that does not identify you or the organisation you work for.
8Dispute Resolution
8.1If you have a dispute regarding these Terms, you must first inform us in writing of that dispute and if requested, attend a meeting with us to resolve that dispute in good faith.
8.2If the dispute cannot be resolved in accordance with clause 8.1, either of us may, subject to any applicable limitation period, commence proceedings in the courts of New South Wales or the Commonwealth of Australia.
9Indemnity
9.1You agree to indemnify us, our affiliates, employees, agents, contributors, third party content providers and licensors from and against:
- (1)all actions, suits, claims, demands, liabilities, costs, expenses, loss and damage (including legal fees on a full indemnity basis) incurred, suffered or arising out of or in connection with your access or use of our Website and Platform;
- (2)any direct or indirect consequences of you accessing, using or transacting on the Platform or attempts to do so; and
- (3)any breach of the Terms.
10Limitation of Liability
10.1To the maximum extent permitted by applicable law, including the Australian Consumer Law (ACL):
- (1)our aggregate Liability to you for any loss or damage in connection with your use of the Platform is limited to the greater of AUD $100 or the total fees paid by you in the preceding twelve months; and
- (2)we exclude all Liability for Consequential Loss in connection with your use of the Platform, even if we have been advised of the possibility of such Loss.
10.2Nothing in these Terms is intended to exclude, restrict or modify the operation and application of the ACL.
11Termination
11.1We may terminate or suspend your access to the Platform without prior notice or Liability for any reason, including if you violate these Terms.
11.2You may delete your account and in doing so, terminate your licence, by:
- (1)Selecting the [“Delete account”] option in the Platform dashboard; or
- (2)issuing a written notice to us within 10 business days prior to the date of Licence Term renewal.
12General
12.1You must not assign or deal with the whole or any part of your rights or obligations under these Terms without our prior written consent.
12.2You agree to the receipt of electronic mail and text messages from us, at the most recent email address or mobile telephone number you have provided to us in writing. To the extent permitted by law, we are not liable for any loss arising from any event in relation to your electronic communications with us that is beyond our reasonable control.
12.3We will not be liable for any delay or failure to perform our obligations under these Terms due to any circumstance beyond our reasonable control.
12.4These Terms are governed by the laws of New South Wales, and each party submits to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
12.5Any notice given under these Terms must be in writing addressed to us at the email address at the end of these Terms or to you at the email address you have provided to us.
12.6These Terms are not intended to create a partnership, joint venture, employment or agency relationship between the Parties.
12.7If a provision of these Terms is held to be void, invalid, illegal or unenforceable, that provision is to be read down as narrowly as necessary to allow it to be valid or enforceable, failing which, that provision (or that part of that provision) will be severed from these Terms without affecting the validity or enforceability of the remainder of that provision or the other provisions in these Terms.
